Representative Matters

Mr. McGowin represents a wide variety of businesses in the drafting and negotiation of documentation as well as tax planning related to transactions occurring at all points of the business life cycle. 

During the start-up phase, he frequently counsels clients with regard to entity formation and the structure of arrangements among partners including complex economic arrangements involving preferred payouts to investors, hybrid debt/equity interests, and profits/incentive interests. 

He is also experienced at counseling operating companies with respect to commercial leasing transactions, employment and consulting relationships, purchase and service agreements, and the strategic acquisition of whole companies.

Finally, he frequently advises companies and their stakeholders with exit strategies including buy-sell arrangements, put/call/redemption arrangements, and the sale of the equity or assets of the company. 

Representative matters include:

 

  • $120MM acquisition of personal lines division of major national insurance company;
  • $20MM acquisition of retail clothing stores by private equity group;
  • $11MM acquisition and restructuring of privately-held advertising company;
  • Structuring and drafting investment vehicle for purchase of insurance agency;
  • Drafting and negotiation of real estate development partnership agreement involving hybrid debt/equity interests and investor capital commitments; and
  • Structuring, drafting and negotiating capital structure of thirteen Series LLCs to purchase and hold twenty-six pieces of real property in $70MM refinancing transaction.
