J. Allen Roberts is a member of the Firm's Corporate & Securities Service Team.  He concentrates his practice in the areas of mergers and acquisitions, banking, general business law and private equity and debt offerings including private placements of convertible debt, preferred stock, common stock and warrants.

Representative Transactions

  • Representation of management in leverage buyout of a company in manufacturing industry, via creation of an ESOP and involving senior and mezzanine financing
  • Representation of majority owner of major league professional sports franchise in dispute with municipality
  • Representation of company in the services industry in connection with $37 million venture capital investment
  • Representation of seller in manufacturing industry in $60 million sale of business to publicly traded company
  • Representation of restaurant franchisee in sale of over 60 restaurants to strategic buyer
  • Representation of a retail grocery chain store sold through an auction process to private equity owned strategic buyer
  • Representation of publicly traded company in the hospitality industry in the divestiture of certain assets to privately held affiliate
  • Representation of a publicly traded financial institution in over 20 acquisitions of other financial institutions and in a $300,000,000 sale of credit card portfolio
  • Representation of a venture capital fund in acquisitions of companies in manufacturing and food services industries
  • Representation of seller in mineral industry in $60 million sale to strategic buyer
  • Representation of privately held company in connection with contribution of Canadian assets to and formation of Canadian joint venture
  • Representation of privately held company in connection with contribution of substantially all of assets to joint venture with publicly traded company
  • Local counsel for two separate hostile takeover attempts of publicly traded companies
